In connection with an IPO or major transaction, such as a bid, there are high demands on the parties involved. These include legal requirements such as the EU Market Abuse Regulation (MAR) and other legislation such as the Swedish Public Takeover Offers Act and competition law, as well as regulations such as the Takeover Rules from Nasdaq Stockholm. In addition to this, there are also several requirements at various stages of the process. For example, external parties such as lawyers and investment banks must act in accordance with established practice and within their respective regulatory frameworks. The board of a company receiving a bid must also arrange for an independent assessment (fairness opinion) and submit a statement. And, of course, all communication must be accurate, easily accessible, and provided in good time.
